TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using CynoFile (the “Service”), operated by CynoCentric LLC (“CynoCentric,” "CynoFile", “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

The Service provides the following offerings:

• Training Tracker — tools to log training sessions, upload and store videos, and organize training data. Unless you explicitly choose otherwise for specific content, Training Tracker content is private to your account by default.
• Active Content & Community — paid access to educational videos and written content, plus member discussion spaces where you can post and reply. Your posts and comments in community areas are visible to other subscribers with access to that area.
• Archived Content — paid access to educational videos and written content from prior periods or curated collections.
• Coaching — paid access to direct feedback and coaching related to training videos you upload and issues you identify via written communication or video conferences. Your coaching sessions, session notes, and shared materials are treated as private between you and your coach unless you explicitly authorize sharing. We may record or transcribe sessions only with your prior consent, for your personal access or for coaching quality control.

3. User Accounts

Most features require an account. You agree to provide accurate information, maintain password confidentiality, and are responsible for all activity under your account. Notify us promptly of any unauthorized use.

4. Subscription and Payment

Access to paid areas is provided via subscription. Subscriptions renew automatically each billing period until canceled. You can cancel at any time from your account page; cancellation stops future renewals but does not retroactively refund the current period.

Plan details. Specific terms for each subscription (renewal period, included features, access areas, and any limitations) are displayed at checkout and on the plan/product page, and can be accessed from your account page. Plans may differ in features (e.g., “Watch Only” vs. “Full Access” with community participation). Prices may change; material changes will be communicated as required.

5. User Content, Privacy, and Visibility

Ownership. You retain ownership of the content you submit (“User Content”), including training data, videos, and session notes.

License to operate the Service. You grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely to operate and improve the Service for you (e.g., show your videos to you, compute progress, generate secure backups). We do not sell or share your private content with third parties.

Private vs. coaching vs. community.

• Training Tracker. Private to your account by default unless you affirmatively share it.
• Coaching. Private between you and your coach; visible to you and authorized coaching personnel only, unless you explicitly authorize sharing.
• Community. Posts and comments in community areas are visible to other subscribers with access to that area. Do not post anything you wish to keep private.

We don’t view or use your private tracker content without your explicit permission. Limited, automated processing may occur to deliver features (search, indexing, progress charts) and to maintain backups.

Video handling. You may attach videos by (i) uploading to CynoFile’s private hosting, (ii) staging uploads to our YouTube channel (typically unlisted), or (iii) linking to an external platform (e.g., YouTube, Vimeo, cloud storage). Visibility and controls may differ by source—see the FAQ. Public or externally visible links on third-party platforms are controlled by those platforms, not by us.

6. Community Conduct

Keep discussions professional and respectful. Do not harass, threaten, defame, post illegal content, or disclose others’ private information without consent. We may moderate, remove, or restrict content or accounts to maintain a safe environment. We do not guarantee other users will comply; report issues so we can review.

7. Prohibited Uses

• Using the Service for unlawful activities or to infringe others’ rights.
• Uploading malware, attempting unauthorized access, or interfering with the Service.
• Scraping, spidering, or systematically copying content except via features or APIs we provide.
• Copying, redistributing, or creating derivative works from our educational content, code, or designs.
• Using our content or other users’ content to train AI/ML models without the express written permission of the rights holder and CynoFile.

8. Intellectual Property

The Service (software, design, text, media, and other materials) is owned by CynoCentric LLC or its licensors and protected by intellectual-property laws. Except as expressly permitted, no license is granted. You may not copy, modify, reverse engineer, or redistribute our content or code.

Your content in community areas. You grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, distribute, and make non-substantive adaptations of your community posts within the Service (e.g., show threads, generate previews, back up community data).

9. Privacy

Your use of the Service is also governed by our Privacy Policy.

10. Disclaimers

Training information. Content is for educational purposes and is not a substitute for professional dog training or veterinary advice. Consult qualified professionals as appropriate.

Availability. We strive for continuous availability but do not guarantee uninterrupted access. We may modify or discontinue features at any time.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data. Our total aggregate liability for direct damages is capped at the greater of $100 or the amounts you paid us in the 12 months before the event. This does not limit liability for fraud, willful misconduct, or where law prohibits limitation.

12. Indemnification

You agree to indemnify and hold harmless CynoCentric LLC from claims arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your account for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

14. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms and adjust the “Last Updated” date. Material changes will be communicated as required. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the state of Ohio, without regard to conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Franklin County, Ohio, and you hereby consent to personal jurisdiction and venue in such courts.

16. Data Retention and Deletion

Upon account closure or deletion request, we will delete or anonymize your private Training Tracker content within a reasonable period, subject to technical backup rotations and legal retention requirements. Community posts may remain to preserve conversation context.

17. Security

We implement administrative, technical, and physical safeguards designed to protect your information. No system is 100% secure; notify us promptly of any suspected unauthorized access.

18. Copyright & Takedown

If you believe content infringes your rights, notify us with sufficient detail to identify the material and demonstrate your rights. We may remove or restrict content at our discretion and may terminate repeat infringers where appropriate.

19. Eligibility

You must be at least 18 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority, a parent or legal guardian must review and accept these Terms.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. During such events, we will make commercially reasonable efforts to maintain Service availability and will communicate with users about significant disruptions when feasible.
